Generator Annual Maintenance Service Agreement
1. Services Provided
Adrian Electric agrees to provide the following annual maintenance services: • One (1) Annual Maintenance Visit scheduled approximately 12 months from the Effective Date, including:
– Oil and filter change
– Air filter change
– Spark plug change
– Comprehensive generator inspection and load-bank test (if applicable)
– 24/7 Remote Monitoring (available only if the generator is connected to a stable, Client-provided Wi-Fi network with a strong and consistent signal at the generator location). Remote monitoring is provided “as-is” and without any guarantee of uptime or connectivity.
2. Payment Terms
The annual fee is $375.
Client selects one option:
☐ $375 paid in full upfront
☐ $31.25 per month charged automatically to the card on file on or around the same day each month as the signup date.
Payment in full for the current 12-month term is required before any maintenance visit is scheduled or performed and before 24/7 remote monitoring is activated. If paying monthly and any payment is declined or missed all services (including remote monitoring) will be suspended until paid in full.
3. Term and Automatic Renewal
This Agreement is effective for one (1) year from the Effective Date and will automatically renew for successive one-year terms unless Client provides written notice of cancellation at least thirty (30) days prior to the renewal date.
4. Remote Monitoring Access & Client Wi-Fi Requirement
Client must provide and maintain:
- A reliable Wi-Fi network with a strong, consistent signal reaching the generator location at all times.
- The following credentials: Username & password of remote monitoring website / application.
Client acknowledges and agrees that 24/7 remote monitoring is contingent upon a working Wi-Fi connection meeting the generator manufacturer’s minimum signal requirements. If Wi-Fi is unavailable, interrupted, or insufficient, remote monitoring will be disabled or limited, and no refund, credit, or price adjustment will be issued for the monitoring portion of the service. Client is solely responsible for maintaining adequate internet service and signal strength and must notify Adrian Electric immediately of any changes.
5. Client Responsibilities
Provide safe and reasonable access for the scheduled maintenance visit.
Maintain a valid payment method on file and ensure all payments are made on time.
Maintain adequate Wi-Fi connectivity to the generator.
6. Service Provider Responsibilities
Perform the annual maintenance visit in a professional and workmanlike manner.
Maintain appropriate licensing and insurance.
Respond to Client inquiries within a reasonable timeframe.
7. Limitation of Liability
ADRIAN ELECTRIC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO GENERATOR FAILURE TO START, LOSS OF POWER, PROPERTY DAMAGE, LOSS OF USE, BUSINESS INTERRUPTION, SPOILED FOOD/MEDICINE, OR ANY OTHER LOSS, EVEN IF ADVISED OF THE POSSIBILITY. Remote monitoring alerts are a courtesy only and do not guarantee generator operation or response times. Client’s sole and exclusive remedy for any alleged breach or unsatisfactory service is termination of the Agreement and a prorated refund of unused monthly payments (if any). Adrian Electric’s total liability under this Agreement shall not exceed the amount actually paid by Client in the current 12-month term.
8. Termination
Either party may terminate with thirty (30) days’ written notice. Upon termination, Client remains responsible for the full remaining annual balance (no prorated refunds). Services cease immediately upon termination.
9. Miscellaneous
This Agreement constitutes the entire understanding between the parties and is governed by Texas law. Any amendments must be in writing and signed by both parties.
